Nick is head of the finance and restructuring group at Lawrence Graham which comprises the banking practice and the restructuring and insolvency practice.

 

Nick advises:

  • Financial institutions on structured and secured real estate lending with particular emphasis on offices, retail, developments and care homes in the UK and Europe;
  • The firm's real estate clients on the financing side of their investment structures, which includes PropCos/Opcos, limited partnerships, unit trusts and investment trusts;
  • Financial institutions, owners and investors on hotel funding, acquisition and development;
  • The full spectrum of stakeholders on restructuring and work-outs of distressed real estate and hotels;
  • Mezzanine lenders on "senior-in-waiting" to owner risk financings;
  • Loan servicers on extension of maturities, restructuring, and exit solutions for real estate assets in the UK and continental Europe;
  • Registered social landlords on all aspects of financing, including the funding aspects of large scale voluntary transfers, syndicated and bilateral lending arrangements, restructuring and refinancing of facilities, capital markets facilities and bond issues, as well as the funding issues relating to group structures.


Experience
  • Acting for German banks on more than 30 financing transactions over the last five years, with an aggregate loan value in excess of £1.5 billion, typically secured on prime, City properties.  Over the last 12 months this includes the financing of 60 Gracechurch Street, London EC3; 30 Crown Place, London EC2; and the Marks & Spencer prime distribution centre in Donnington;
  • Acting for JP Morgan, HBOS, KBC and US financial institutions on real estate and hotel lending in the UK and Europe;
  • Advised the investors on their £397 million acquisition-and-management-back of 16 Hilton-managed hotels from the Hilton Group (facilities of C£340 million), and advised the owners on their subsequent successful restructuring;
  • Advised the investors and owners on their £1.1 billion acquisition of 47 Marriott-managed hotels from The Royal Bank of Scotland plc (facilities of £925 million), and advised the owners on the subsequent attempted restructuring;
  • Acting for the lender on the acquisition and development of the luxury brand hotel, the Bulgari Knightsbridge in London;
  • Advising on a number of mezzanine facilities and intercreditor arrangements for Longbow and other mezzanine lenders;
  • Advised numerous registered social landlords on their LSVT funding arrangements, refinancings and general banking facilities in excess of £2.5 billion.
